Terms and Conditions - Modeer Platform
Welcome to Modeer. By using our platform, you agree to comply with and be bound by the following terms. These terms govern the relationship between the Client, the Shipping Company, and Modeer (the Mediator).
1. The Nature of Service
- Modeer is a digital intermediary platform (Freight Exchange) that connects Clients with Shipping Companies.
- Modeer does not own vehicles and is not a shipping company. Our role is limited to facilitating the connection, pricing transparency via Odoo, and monitoring the order lifecycle.
2. Order Types and Rules
- Normal vs. Urgent: The Client must select the order type at the creation stage. Urgent orders will only be visible to companies that have opted into this service.
- Pricing: * Estimated Price: Provided for general guidance if no specific company is selected. It is a non-binding average.
- Final Price: Once a company is selected or confirms the request, the price fetched from the Odoo pricelist is final and includes the base price, taxes, and Modeer’s commission.
3. Payment Policy
- Proof of Payment: The Client is required to upload a valid proof of payment (bank transfer/receipt) once they confirm the company's offer.
- Verification: The order status will remain "Awaiting Payment Verification" until the Admin manually approves the payment. Modeer reserves the right to reject invalid or suspicious payment documents.
- Finality: No shipment execution begins until the payment is verified by the Administration.
4. Cancellation and Refund Policy
- By Client: Cancellation is only permitted while the order status is "Pending". Once a company accepts the order or the payment is verified, cancellation may be subject to a fee or restricted.
- By Company: If a company rejects a request in the "Awaiting Company Response" stage, the Client may select another provider.
5. Execution and Delivery
- Company Responsibility: The Shipping Company is solely responsible for the safety of the cargo, the vehicle's condition, and adhering to the delivery timeline.
- Delivery Confirmation: The order is considered complete only after the Company marks it as "Delivered" and the Client confirms "Received".
6. Rating and Reliability System
- Both parties agree to rate each other fairly after the order is closed.
- Modeer reserves the right to suspend any account (Client or Company) that receives consistently low ratings or violates the integrity of the marketplace.
7. Limitation of Liability
- Modeer is not liable for delays, cargo damage, or accidents occurring during transit. These are the direct responsibility of the Shipping Company.
- Modeer is not responsible for any technical errors arising from incorrect data entry by the user (e.g., wrong port or city).
8. Governing Law
- These terms are governed by the laws of the country where Modeer is registered. Any disputes that cannot be resolved via the Admin "Dispute Resolution" feature will be referred to the competent courts.
